Everything important must be in writing.
If it is not written into the approved project scope, invoice, or later written approval, it is not included.
Deposits are non-refundable once work begins.
This covers reserved project time, planning, design, development, and work already performed.
Final payment is due before launch, transfer, or handoff.
No final launch, transfer, or delivery happens until the balance is paid in full.
01. Services Provided
PhantomSites provides website design, website development, Shopify setup, website configuration, and optional website maintenance.
Unless explicitly stated in writing, PhantomSites does not provide SEO services, advertising services, marketing strategy, ad management, social media management, lead generation, branding strategy, sales consulting, copywriting, product photography, legal compliance consulting, or business coaching.
PhantomSites is paid to build websites and, if selected, maintain the website/backend. Nothing more is implied unless agreed in writing.
02. Scope of Work
Every project begins with a written scope that defines the pages, features, platform, product count, integrations, revision allowance, and estimated timeline.
Verbal conversations, assumptions, text messages, direct messages, and informal ideas are not binding unless they are added to the written scope.
If a request is not clearly included in writing, it is considered out of scope. Out-of-scope work may require a separate quote, updated timeline, and written approval before work begins.
03. Payment Terms
Standard custom projects are billed in two parts:
- 50% non-refundable deposit due before work begins.
- Remaining 50% due upon delivery and before launch, transfer, or final handoff.
The deposit is non-refundable once work has started, including strategy, planning, design, setup, development, revisions, testing, and reserved calendar time.
If final payment is not received within 7 calendar days of delivery, PhantomSites may pause the project, withhold launch, withhold files, revoke preview access, or take the site offline until payment is received in full.
Accepted payment methods: Venmo, Zelle, PayPal, Cash App, and cash. Any third-party payment processing fees are the clientâs responsibility unless otherwise agreed in writing.
04. Refund Policy
Due to the custom nature of digital work, all payments are non-refundable once work has begun.
No refunds are owed for completed work, partially completed work, strategy time, design time, development time, reserved time, or work rejected after it has already been performed.
Client dissatisfaction does not create an automatic right to a refund.
05. Revisions & Change Requests
Revision allowances depend on the plan or written agreement.
- Blueprint â 0 revisions unless otherwise stated in writing.
- Blueprint + Setup / Shopify Store â 1 revision round unless otherwise stated in writing.
- Promotional revision offers only apply if clearly stated at the time of purchase.
A revision round means one consolidated set of feedback submitted at one time after review. It does not include unlimited edits, repeated piecemeal requests, or major direction changes.
Additional revision rounds are billed at $50 per round unless otherwise agreed in writing. Major redesigns, structural changes, or changed direction may be treated as out-of-scope work.
06. Approvals Are Final
Any client approval of design, layout, content placement, features, or functionality is considered final for that stage of the project.
Once the client approves a deliverable, any later request to change that approved work may be treated as a new revision or out-of-scope work and may require additional fees.
07. Timeline, Delays, and Client Response Time
Any timeline given by PhantomSites is an estimate based on the assumption that the client supplies content, approvals, feedback, and account access in a timely manner.
The client agrees to provide reasonably prompt communication, including:
- text and image content,
- branding materials,
- product information,
- account access,
- approvals, and
- revision notes.
If the client delays communication, approvals, payments, or required materials, the project timeline automatically extends. PhantomSites is not responsible for missed deadlines caused by client delays.
If a project remains inactive due to client non-response for 14 calendar days, PhantomSites may pause the project. If inactivity reaches 30 calendar days, the project may be considered abandoned and restarting may require a restart fee, updated quote, or new timeline.
08. Client Responsibilities
The client is responsible for providing accurate, complete, and legally usable materials for the project, including business information, copy, media, product details, pricing, policies, and required account access.
PhantomSites is not responsible for errors caused by inaccurate, incomplete, outdated, or misleading information supplied by the client.
The client is responsible for reviewing the completed site before launch and reporting any concerns during the included revision period.
09. Content, Copyright, and Legal Use
The client confirms they have the legal right to use all text, images, logos, videos, product information, and materials submitted for the project.
PhantomSites is not responsible for claims arising from client-supplied materials, including copyright infringement, trademark violations, false advertising, defamation, misleading claims, or unlicensed media.
If the client supplies or requests the use of content, the client is representing that they have permission to use it.
10. No SEO, Advertising, or Business Result Guarantees
PhantomSites does not guarantee search engine rankings, SEO performance, traffic, lead volume, sales, conversion rates, ad performance, business growth, or any specific business result.
PhantomSites is not responsible for the clientâs offer, pricing, marketing strategy, paid ads, customer service, fulfillment, competition, or any external market conditions.
A website is a tool. PhantomSites builds and optionally maintains the tool. PhantomSites does not guarantee what the client does with it or what business results it produces.
11. Third-Party Platforms, Apps, and Services
Websites often rely on third-party services such as Shopify, payment processors, apps, themes, plugins, domain registrars, hosting providers, DNS providers, email tools, and Google services.
PhantomSites is not responsible for outages, bugs, price changes, feature changes, account suspensions, platform restrictions, or failures caused by third-party tools or services.
Any one-time or recurring fees charged by third-party services are the clientâs responsibility unless explicitly stated otherwise in writing.
12. Hosting, Domain, and Platform Responsibility
The client is solely responsible for maintaining domain registration, hosting accounts, Shopify subscriptions, app subscriptions, email accounts, and any other third-party services unless PhantomSites is actively managing those items under a paid maintenance agreement.
PhantomSites is not responsible for downtime, loss, or breakage caused by expired domains, unpaid subscriptions, canceled services, DNS changes, hosting issues, or platform account issues outside PhantomSitesâ direct control.
13. Ownership, Rights, and Portfolio Use
Once final payment is received in full, the client owns the final delivered website work specifically created for that project, except for third-party software, apps, licensed assets, and reusable systems that remain subject to their own licenses or ownership.
PhantomSites retains ownership of pre-existing internal systems, reusable development methods, frameworks, template systems, and general know-how.
PhantomSites may display completed work in its portfolio, marketing, and social media unless the client requests otherwise in writing before launch.
14. Launch, Delivery, and Handoff
âDeliveryâ means the project is complete enough for final review, final payment, and launch or transfer.
Final payment is required before the website goes live, before the site is transferred, before full ownership is handed off, and before final files or credentials are released.
After launch or transfer, responsibility for ongoing management belongs to the client unless an active maintenance agreement is in place.
15. Post-Launch Support
Post-launch support is not unlimited and is not automatically included forever.
Unless otherwise stated in writing, the original build includes only the agreed project scope and included revision period. Future edits, fixes, changes, troubleshooting, or requests after handoff may require maintenance or hourly billing.
Any free or goodwill help provided after launch is optional and does not create an ongoing obligation.
16. Maintenance Plan
Monthly maintenance is $99/month unless otherwise stated in writing. Maintenance is optional and separate from the original website build.
- Maintenance may be canceled with 30 days written notice sent to Jaden.Peralta@phantomsites.net.
- There are no cancellation fees.
- Unused maintenance time does not roll over.
- Time resets at the start of each billing cycle.
- Large requests, redesigns, new pages, or new functionality are quoted separately.
PhantomSites will notify the client and obtain written approval before performing billable work outside maintenance coverage.
17. What Maintenance Includes
- reasonable text and content updates,
- image swaps,
- pricing updates,
- basic layout/content adjustments,
- broken link checks,
- form troubleshooting,
- basic integration adjustments,
- basic backend upkeep,
- monthly backup support,
- security and performance checks, and
- priority response within 24 business hours.
18. What Maintenance Does Not Include
The following are not included unless explicitly agreed in writing:
- new pages beyond the original scope,
- full redesigns,
- new custom functionality,
- major platform changes,
- brand strategy, logo work, or graphic design packages,
- copywriting from scratch,
- photo sourcing,
- SEO services,
- ad campaigns or ad management,
- lead generation,
- social media management, or
- sales consulting.
19. Emergency and After-Hours Support
Business hours: MondayâFriday 10amâ7pm EST | Saturday 11amâ4pm EST
PhantomSites is not a 24/7 on-call provider. Requests received outside business hours are normally handled the next business day.
A true emergency is limited to:
- the entire site being down,
- checkout or payment processing being completely broken, or
- a confirmed security breach or hack.

After-hours rates:
- $60/hr during standard business hours for hourly work,
- $120/hr for evenings and weekends,
- $180/hr for late-night work from 10pmâ7am EST.
If a request does not qualify as a true emergency, it may be deferred to the next business day and billed at standard rates.
20. Client-Caused Issues and Repair Work
If the client, the clientâs staff, or any third party edits, changes, deletes, breaks, misconfigures, or damages the website, theme, backend, integrations, or settings after delivery, repair work is billable.
Such repair work is not included in the original build and is not automatically included in maintenance unless expressly stated.
If the client breaks it, the client pays for the time required to diagnose and repair it.
21. Security Disclaimer
PhantomSites may implement reasonable security-minded practices, but does not guarantee that a site will never be hacked, breached, exploited, flagged, suspended, or otherwise compromised.
Ongoing security depends on many factors outside PhantomSitesâ control, including passwords, user access, third-party software, hosting, platform changes, and client behavior.
22. Force Majeure
PhantomSites is not liable for delays or failure to perform due to causes beyond reasonable control, including but not limited to illness, outages, natural disasters, cyberattacks, platform failures, hosting failures, internet disruptions, payment processor failures, labor shortages, or government actions.
23. No Guarantee of Results
PhantomSites does not guarantee business success, search rankings, website traffic, leads, sales, ad results, customer retention, or any other commercial outcome.
PhantomSites is responsible for delivering the agreed website work and optional maintenance services only.
24. Limitation of Liability
PhantomSites is not liable for lost revenue, lost profits, lost business opportunity, lost data, lost customers, indirect damages, incidental damages, consequential damages, or special damages related to the website or services provided.
PhantomSitesâ maximum liability for any claim is limited to the total amount paid by the client to PhantomSites for the specific project giving rise to the claim.
25. Indemnification
The client agrees to defend, indemnify, and hold PhantomSites harmless from claims, damages, liabilities, losses, and expenses arising from client-provided content, client business operations, client products/services, or the clientâs misuse of the site.
26. Chargebacks and Payment Disputes
By purchasing services from PhantomSites, the client agrees to contact PhantomSites first to attempt to resolve billing concerns before filing a chargeback or payment dispute.
Filing a false or bad-faith chargeback after work has been delivered, partially delivered, or clearly performed may be treated as breach of agreement.
PhantomSites reserves the right to submit invoices, files, communication, previews, approvals, and delivery records as evidence in response.
27. Governing Law
These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.
Any dispute arising from these services shall be handled in the appropriate courts located in North Carolina unless otherwise required by law.
28. Entire Understanding
These terms, together with the written project scope, invoice, and any written approved add-ons, form the full understanding between PhantomSites and the client.
If any part of these terms is found unenforceable, the rest will continue to apply.
